Biography

Jill Carvalho is an experienced commercial litigator and counselor who works with companies, executives, and directors. Jill’s experience includes advising companies on corporate governance and  fiduciary duty matters.  She works in federal and state court and at regulatory agencies, including the Texas Public Utility Commission and the Securities Exchange Commission.

Jill has also worked extensively with clients in the energy industry, including oil and gas exploration and engineering, midstream companies on permitting and electricity regulatory challenges, and also defending against environmental challenges and personal injury litigation. In the healthcare space, Jill advises operating clinics, ERs, and biopharmaceutical companies on FDA approvals and regulatory approvals.

Prior to joining Burke Law Group, Jill practiced law at an AmLaw 50 law firm and a professor of political science at American University in Washington, D.C.

Representative Matters

  • Represented an international oil and gas engineering company by conducting an internal investigation of claims of fraud made by an activist shareholder then successfully defending company against those claims in the newly-formed Texas Business Courts.
  • Represented an investment fund that managed more $50 billion by conducting an internal investigation of decisions related to hiring of external investment manager.
  • Represented a medical device manufacturer in a shareholder derivative suit, in part by successfully protecting analysis and interviews done as part of an internal investigation from discovery by plaintiffs.
  • Represented a medical technology and operations company in a federal securities class action based on alleged fraudulent statements and a related derivative suit, settling the case for a fraction of the original demand and getting the Delaware derivative case dismissed.
  • Represented the CFO, a major shareholder and board member, of a financial services company against alleged breaches of fiduciary duty in post-bankruptcy litigation, resolving complicated issues related to shareholder rights and securing damages for the client instead of a payment to the bankruptcy estate.
  • Represented the founders and executives of an oil exploration and engineering company against alleged breaches of fiduciary duty in post-bankruptcy litigation, reducing the settlement paid to the estate substantially and securing releases of additional liabilities.
  • Represented a mortgage servicing company and its executives by developing a creative strategy to settle multiple, overlapping cases arising out of its bankruptcy, with multiple plaintiffs and defendants, resolving allegations of breaches of fiduciary duties, tax liability, and negligence.
